1. Acceptance of Terms

By accessing or using SyncWave ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

SyncWave is a web-based digital audio workstation (DAW) that enables users to create, edit, and collaborate on music projects in real-time. The Service includes features such as:

  • Multi-track audio and MIDI recording and editing
  • Real-time collaboration with other users
  • Live jam sessions with low-latency audio
  • Cloud storage for projects and audio files
  • Virtual instruments and audio effects

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 13 years old to create an account. If you are under 18, you must have parental consent to use the Service.

4. User Content

Ownership

You retain all rights to the content you create or upload to SyncWave, including music, audio recordings, and project files ("User Content"). SyncWave does not claim ownership of your User Content.

License to SyncWave

By uploading User Content, you grant SyncWave a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your content solely for the purpose of providing the Service to you and your collaborators.

Content Restrictions

You agree not to upload content that:

  • Infringes on any third party's intellectual property rights
  • Contains malware, viruses, or harmful code
  • Is illegal, defamatory, or violates any law
  • Contains hate speech or promotes violence
  • Violates the privacy rights of others

5. Subscription and Payments

Free and Paid Plans

SyncWave offers both free and paid subscription plans. Free plans have limitations on storage, features, and usage. Paid plans unlock additional features and higher limits.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the recurring subscription fee.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes

We may change subscription prices with 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Circumvent any access controls or usage limits
  • Reverse engineer or decompile any part of the Service
  • Use automated means to access the Service without permission
  • Harass, abuse, or threaten other users
  • Impersonate any person or entity
  • Share account credentials with others
  • Use the Service to distribute spam or malware

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by SyncWave and are protected by international copyright, trademark, and other intellectual property laws.

"SyncWave" and our logo are trademarks of SyncWave. You may not use our trademarks without prior written permission.

8. Third-Party Services

The Service may integrate with or link to third-party services (payment processors, social media platforms, audio libraries). Your use of these services is subject to their own terms and privacy policies. SyncWave is not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCWAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SyncWave and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time through your account settings. Some provisions of these Terms survive termination, including ownership, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Paris, France.
